By accessing and using CivicSpend.ai, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

CivicSpend.ai is a platform that connects suppliers with government procurement opportunities and provides transparency tools for government spending and supply chain data. Our services include:
- Access to government procurement opportunities
- Supply chain data and analytics
- Supplier network management tools
- Government spending transparency features
3. User Accounts
To access certain features of our service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your login credentials confidential
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree not to use our platform to:
- Violate any applicable local, state, national, or international law
- Transmit any harmful, threatening, abusive, or defamatory content

NO LIABILITY FOR DATA BREACHES: While we implement reasonable security measures, you acknowledge that no system is completely secure. CivicSpend.ai shall have NO LIABILITY whatsoever for any data breaches, unauthorized access, hacking, or security incidents that may occur, regardless of cause.
SENSITIVE INFORMATION WARNING: You are strictly prohibited from uploading, posting, or sharing any sensitive, confidential, proprietary, or classified information on our platform. Any such information shared is done at your own risk, and CivicSpend.ai bears NO RESPONSIBILITY for its exposure, misuse, or compromise.
USER RESPONSIBILITY: You are solely responsible for the security and confidentiality of any information you choose to share on our platform. This includes but is not limited to business plans, financial information, trade secrets, and personal data.
6. Data Accuracy and Completeness
NO GUARANTEE OF ACCURACY: All data, information, and content provided through CivicSpend.ai is provided "AS IS" without any warranties or guarantees of accuracy, completeness, timeliness, or reliability. We do not verify, validate, or guarantee the accuracy of any information.
THIRD-PARTY DATA: Much of our data comes from third-party sources including government databases, public records, and user submissions. We make no representations about the accuracy or reliability of this information.
USER VERIFICATION REQUIRED: Users must independently verify all information before making any business decisions. Any reliance on information from our platform is at your sole risk.
7. Bid Success and Contract Awards
NO GUARANTEE OF SUCCESS: CivicSpend.ai makes NO WARRANTIES, GUARANTEES, or REPRESENTATIONS that using our platform will result in successful bids, contract awards, or any business opportunities. Success in government procurement depends on numerous factors beyond our control.
GOVERNMENT DECISION INDEPENDENCE: All procurement decisions are made solely by government entities according to their own criteria and processes. CivicSpend.ai has no influence over, and no responsibility for, any procurement outcomes.
COMPETITIVE PROCESS: Government procurement is inherently competitive. Multiple suppliers may access the same opportunities through our platform, and we make no guarantees about competitive advantage or exclusivity.
8. Service Availability and Performance
NO UPTIME GUARANTEES: We do not guarantee that our service will be available 24/7 or free from interruptions, delays, or errors. Our service may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control.
SYSTEM LIMITATIONS: Our platform may have technical limitations, bugs, or performance issues. We make no warranties about system performance, speed, or reliability.
9. Government Data and Compliance
Our platform aggregates publicly available government data. Users acknowledge that all government procurement processes must comply with applicable federal, state, and local regulations. CivicSpend.ai does not guarantee contract awards and is not responsible for government procurement decisions.
10. User Indemnification
You agree to indemnify, defend, and hold harmless CivicSpend.ai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of our service; (b) your violation of these terms; (c) your violation of any third-party rights; (d) any content you submit or share through our platform; or (e) any breach of security or confidentiality involving your account.
11. Intellectual Property
The service and its original content, features, and functionality are and will remain the exclusive property of CivicSpend.ai and its licensors. The service is protected by copyright, trademark, and other laws.
12. Comprehensive Limitation of Liability
MAXIMUM LIABILITY LIMITATION: TO THE FULLEST EXTENT PERMITTED BY LAW, CIVICSPEND.AI'S TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICE SHALL NOT EXCEED THE LESSER OF: (a) $100, OR (b) THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
EXCLUSION OF DAMAGES: IN NO EVENT SHALL CIVICSPEND.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
COMPREHENSIVE EXCLUSIONS: This limitation applies to all claims based on warranty, contract, tort, negligence, strict liability, or any other legal theory, and includes but is not limited to: data breaches, security incidents, system failures, inaccurate information, lost business opportunities, failed bids, and any damages arising from your use or inability to use our service.
13. Disclaimers and Warranties
NO WARRANTIES: OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
THIRD-PARTY SERVICES: We may integrate with or rely on third-party services, APIs, or data sources. We make no warranties about the availability, accuracy, or reliability of these third-party services and disclaim all liability for their performance or failure.
14. Termination
We may terminate or suspend your account immediately, without prior notice or liability, if you breach these terms. You may also terminate your account at any time by contacting us. Upon termination, all disclaimers, limitations of liability, and indemnification provisions shall survive.
15. Governing Law and Jurisdiction
These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Alexandria, Virginia.
16. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the platform. Continued use of the service after changes constitutes acceptance of the new terms. If you do not agree to the modified terms, you must stop using our service.
